Terms and Conditions for Practitioners & Clinics
PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE REGISTERING AND LISTING YOUR SERVICES ON OUR PLATFORM.

Introduction and Acceptance of Terms
These Terms and Conditions ("Terms") govern your ("Practitioner," "Clinic," "you," "your") access to and use of the practitioner-facing features of The Health Nav Limited, "we", "us", or "our") website www.thehealthnav.co.uk, The Health Nav Ltd and related services that allow you to list your professional services and connect with potential patients ("End-Users") (collectively, the "Platform Services").
By registering for an account, creating a listing, or otherwise using the Platform Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform Services.
If you are accepting these Terms on behalf of a clinic or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

Description of Platform Services for Practitioners
The Health Nav Limited provides an online platform where Practitioners can create profiles, list their healthcare and wellness services, provide information about their practice, and be discoverable by End-Users seeking such services. The Platform Services may also include tools to manage your listing, and access analytics related to your listing's performance.
Unclaimed Clinic Profiles. We may create and display unclaimed clinic profiles using publicly available or licensed information so patients can discover clinics. Authorised representatives may claim and manage their clinic profile as set out in Section 5.
Eligibility and Account Registration
Eligibility: To register and list services on The Health Nav Limited, you must:
- Be a qualified and (where applicable) registered healthcare or wellness practitioner, or an authorised representative of a legitimate clinic or healthcare business in the United Kingdom.
- Hold all necessary licenses, certifications, registrations, and insurance required to legally practice and offer the services you list in the United Kingdom.
- Comply with all applicable laws, regulations, ethical guidelines and professional codes of conduct.
Account Creation: You must create an account to use the Platform Services. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. Practitioner registration process is valid for 30 days after that you may be able to register under the same details, such as name, email address.
Verification: We reserve the right to verify your credentials, qualifications, and registration status with relevant professional bodies at any time. You agree to cooperate with any such verification requests. Failure to provide satisfactory verification may result in suspension or termination of your account.
Account Security: You are responsible for safeguarding your account password and for any activities or actions under your account. You agree to notify us immediately of any unauthorised use of your account.
Authority to Claim. By creating an account or claiming a clinic profile, you confirm you are an authorised representative (e.g., owner, practice manager, or someone with written authority).
Security; MFA/SSO. You must keep credentials secure and comply with our SSO/MFA requirements. We may require multi-factor authentication for admin access. You must notify us immediately of any suspected unauthorised access.
Practitioner Obligations and Responsibilities
As a Practitioner using our Platform Services, you agree to:
Accuracy of Information: Ensure all information provided in your profile and listings (including qualifications, services offered, availability, pricing, contact details, and any other content) is accurate, complete, up-to-date, and not misleading. You are solely responsible for the content of your listing.
Professional Standards: Maintain the highest professional standards in accordance with applicable laws, regulations, ethical guidelines, and the codes of conduct of your relevant professional body/bodies.
Licensing and Insurance: Maintain all necessary licenses, registrations, certifications, other relevant consents, and professional indemnity or other insurance required to provide the services you list. You must notify us immediately of any change in your licensing, registration or insurance status.
Service Delivery: Be solely responsible for the quality, safety, and legality of the services you provide to any End-User who connects with you through our platform.
End-User Data (Your Responsibility): Comply with all applicable data protection laws and regulations (including UK GDPR) with respect to any personal data of End-Users that you collect or process, including without limitation any personal data you process as a result of an interaction or engagement originating from our platform or the Platform Services or in respect of users of our Services. You acknowledge that for such data, you are an independent Data Controller. Our platform's role is limited to facilitating the initial connection.
Communication: Respond promptly and professionally to any enquiries or booking requests received from End-Users through the platform.
Compliance with Laws: Comply with all applicable laws and regulations in your use of the Platform Services and in the provision of your professional services.
Platform Use: Use the Platform Services in accordance with these Terms and any acceptable use policies we may publish.
Accuracy & Updates. You will provide accurate, non-misleading information and promptly correct or update your clinic details.
No Impersonation. You will not claim or manage a profile for which you lack authority, nor misrepresent your relationship to any clinic.
Co-operation with Verification. You agree to provide reasonable proof of authority upon request (see Section 5).
Content Standards. Content you submit (including responses to reviews) must comply with law and our Review Guidelines; do not include personal data about others without their permission.
Listing Creation and Management
Content: You are responsible for creating and maintaining your listing. You grant The Health Nav Limited a non-exclusive, irrevocable, worldwide, royalty-free license to use, host, display, reproduce, modify (for formatting purposes), and distribute the content you provide for your listing (e.g., text, images, logos) for the purpose of operating and promoting the Platform Services for the duration of the Platform Services.
Prohibited Content: Your listing must not contain any content that is illegal, fraudulent, defamatory, obscene, infringing on third-party rights (including intellectual property and privacy rights), or otherwise objectionable in our reasonable opinion.
Our Right to Review/Remove: We reserve the right, but not the obligation, to review, screen, edit, or remove any listing or content that, in our sole discretion, violates these Terms or is otherwise deemed inappropriate.
Claiming and Verification.
We may request proof of authority (e.g., work-domain email challenge, code to official contact details, regulator/registration cross-check, letter of authority). We may refuse or revoke a claim where authority cannot be verified or misuse is suspected.
Admin Controls.
Claimed profiles can be updated by authorised admins. We may require role-based permissions, and we log changes for security and audit. We may display "Claimed by clinic" and the date of verification.
Clinic Content Licence.
For any content you submit (text, images, logos), you grant us a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, and adapt for technical formatting and distribution, solely to operate and improve the directory and related services. You retain ownership of your content.
Names, Marks and Logos.
We may display your clinic's name, trading names, marks and logos to identify your clinic and operate the directory. You may request updates or removal of outdated marks.
Reviews and Right of Reply.
User reviews are user-generated opinions. We may label a clinic reply as a "Verified clinic response." We may edit, refuse or remove content that breaches law or our guidelines and may temporarily unpublish content while we investigate a credible dispute.
Ranking, Matching and Updates.
We may rank, re-order, deduplicate and update profile information using public sources and licensed partners. We keep change logs and may notify you of material changes. You may dispute changes via support.
Outreach and Service Notices.
We may contact you about claiming, verification, accuracy, and important updates using public or provided contact details. Marketing communications (if any) follow PECR and our Privacy Notice; you can opt out of marketing at any time.
Suspensions and Safety.
We may suspend or limit access to a profile to protect the service, investigate suspected misuse, or comply with law/regulator requests.
Fees and Payment
Platform Fee: Creating an account and listing on the Platform is free. We charge a one-off platform fee on the initial booking with each new patient who books you through the Platform: £50 for practitioners with founding member status, and £75 for all other practitioners. We charge no commission: the fee is a fixed amount regardless of the value of the booking, and there is no fee on repeat bookings with the same patient or on bookings you record yourself for patients you did not obtain through the Platform. The fee is collected through our payment processor when the initial booking is paid for.
Referral Pathway: The same one-off fee applies to patients introduced to you through our Request a Match service, where it is payable when you accept the referral rather than at the first booking, under the separate Referral Pathway Terms, which apply in addition to these Terms.
Subscription Fees: The Health Nav Ltd may offer different subscription plans or listing packages with associated fees. Details of current fees and payment terms will be provided to you at the time of subscription or purchase.
Payment: You agree to pay all applicable fees in accordance with the payment terms presented to you. All fees are [e.g., non-refundable, quoted in GBP and inclusive/exclusive of VAT as applicable].
Billing: We may use a third-party payment processor to bill you. The processing of payments will be subject to the terms, conditions, and privacy policies of the payment processor in addition to these Terms.
Changes to Fees: We reserve the right to change our fees or introduce new charges upon reasonable notice to you.
Intellectual Property
Our Platform IP: The Health Nav Limited and its licensors own all right, title, and interest in and to the Platform Services, including all associated intellectual property rights (e.g., our brand, logo, website design, software). Except for the limited right to use the Platform Services as expressly permitted by these Terms, no rights are granted to you.
Your Content IP: You retain ownership of the intellectual property rights in the content you submit for your listing. However, you grant us the license described in Section 5.
Confidentiality
Each party may have access to confidential information of the other party. Confidential Information does not include information that is publicly available or independently developed. Each party agrees to use the other party's Confidential Information solely for the purpose of fulfilling its obligations under these Terms and to take reasonable steps to protect its secrecy.
Information displayed on public clinic profiles is not confidential. Admin credentials, non-public dashboard data, and communications between you and us are treated as confidential subject to this Section.
Disclaimers
Platform "As Is": The Platform Services are provided "as is" and "as available" without any warranties or representations of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
No Guarantee of Results: We do not guarantee that listing on our platform will result in any specific number of enquiries, bookings, or new patients or other results.
Third-Party Interactions: We are not responsible for any interactions or disputes between you and End-Users, or between you and other Practitioners or third parties.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE HEALTH NAV LIMTED, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR:
(A) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE LOSS OR DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, THE PLATFORM SERVICES OR ANY CONTENT OR SERVICES THEREON;
(B) ANY LOSS OR DAMAGE WHICH MAY BE INCURRED BY YOU AS A RESULT OF: (I) ANY RELIANCE PLACED BY YOU ON THE COMPLETENESS, ACCURACY OR EXISTENCE OF ANY ADVERTISING, OR AS A RESULT OF ANY RELATIONSHIP OR TRANSACTION BETWEEN YOU AND ANY ADVERTISER OR SPONSOR WHOSE ADVERTISING APPEARS ON THE SERVICES; (II) ANY CHANGES WHICH WE MAY MAKE TO THE SERVICES OR THE PLATFORM SERVICES, OR FOR ANY PERMANENT OR TEMPORARY CESSATION IN THE PROVISION OF THE SERVICES OR THE PLATFORM SERVICES (OR ANY FEATURES WITHIN THE SERVICES OR THE PLATFORM SERVICES); (III) THE DELETION OF, CORRUPTION OF, OR FAILURE TO STORE, ANY CONTENT AND OTHER COMMUNICATIONS DATA MAINTAINED OR TRANSMITTED BY OR THROUGH YOUR USE OF THE SERVICES OR THE PLATFORM SERVICES; (IV) ANY BREACH BY YOU OF THESE TERMS.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SERVICES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY, OR OTHERWISE, SHALL NOT EXCEED THE LOWER OF THE TOTAL FEES (IF ANY) PAID BY YOU TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM AND £100.
THIS DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
Indemnification
You agree to defend, indemnify, and hold harmless The Health Nav Limited, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from or connected with:
- (i) your use of and access to the Platform Services;
- (ii) your breach of any term of these Terms;
- (iii) your violation or infringement of any third-party right, including without limitation any copyright, property, or privacy right;
- (iv) any claim that content you submitted for your listing caused damage to a third party; or
- (v) your provision of professional services to any End-User, or any dispute arising therefrom.
This defense and indemnification obligation will survive these Terms and your use of the Platform Services.
You will indemnify us against losses arising from unauthorised claiming, misrepresentation of authority, or content you submit (including unlawful, defamatory or infringing material), to the extent permitted by law.
Term and Termination
Term: These Terms will remain in full force and effect while you use the Platform Services or maintain an account with us.
Termination by You: You may terminate your account and these Terms at any time by giving [2] months' written notice to [email].
Termination or Suspension by Us: We may, in our sole discretion, suspend or terminate your account and access to the Platform Services, with or without notice, for any reason, including, without limitation, if we believe you have breached these Terms, if your conduct is harmful to our platform or other users, if your professional registration or insurance lapses, or if we cease to offer the Platform Services.
Effect of Termination: Upon termination, your right to access and use the Platform Services will immediately cease, and we may delete your account and listing information, subject to our data retention policies outlined in the Practitioner & Clinic Privacy Notice. Provisions of these Terms that by their nature should survive termination will survive (including, without limitation, intellectual property provisions, disclaimers, limitations of liability, indemnification, and governing law).
Governing Law and Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms or their subject matter or formation.
Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide notice of any significant changes by email to the address notified to us in writing. Your continued use of the Platform Services after such notice constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
General Provisions
Entire Agreement: These Terms, together with the Practitioner & Clinic Privacy Notice and any other legal notices published by us on the Platform Services, constitute the entire agreement between you and The Health Nav Limited concerning your use of the Platform Services as a Practitioner.
Severability: If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect.
No Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure or delay to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
Assignment: You may not assign these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms or any rights or obligations hereunder without your consent.
Notices: Any notices or other communications permitted or required hereunder, including those regarding modifications to these Terms, will be in writing and given by us (i) via email (to the address that you provide) or (ii) by posting to the Platform Services.
Data Processing
16.1 For the purposes of this clause 16, the terms Commissioner, controller, data subject, personal data, personal data breach, processor and processing shall have the meaning given to them in Applicable Data Protection Law. Applicable Data Protection Laws: all Applicable Laws relating to the protection of personal data and the privacy of individuals, including the UK GDPR, the Data Protection Act 2018 and the Privacy and Electronic Communications Regulations 2003 (SI 2003/2426). Applicable Laws: all applicable laws, statutes, regulations from time to time in force.
16.2 The parties have determined that, for the purposes of Applicable Data Protection Laws, and except where clause 16.4 applies, each party shall act as an independent data controller in respect of any personal data processed by it. For the avoidance of doubt, the Practitioner shall be an independent data controller in respect of any personal data processed by it in relation to users of The Health Nav Service.
16.3 Each party shall comply with all Applicable Data Protection Laws in its processing of personal data under or in connection with this agreement. This clause 16 is in addition to, and does not relieve, remove or replace, a party's obligations or rights under Applicable Data Protection Laws.
16.4 Research studies and other special engagements. Where the Practitioner participates through the Platform in a research study or other engagement sponsored by a third-party organisation (such as a university or research funder), the parties acknowledge that different data protection roles may apply to personal data processed for that engagement, including that: (a) the sponsoring organisation may act as controller of booking, scheduling and study-related data, with The Health Nav acting as its processor under a written data processing agreement; and (b) the Practitioner may remain an independent controller of the clinical records the Practitioner creates. The applicable roles for any such engagement will be set out in the participation terms for that engagement (which the Practitioner must accept before taking part), and those participation terms shall prevail over clause 16.2 in respect of that engagement. Nothing in this clause 16.4 affects the parties' roles in respect of ordinary use of the Platform.
